This research seminar focuses on concepts, theories, and empirics on the corporate governance system in Japan and the US. In this seminar, the students will learn the bank-based monitoring system, popularly known as the integrated monitoring system deployed by Japan’s main bank, Bank of Japan, and the Ministry of Finance, to ensure effective governance of corporations. Simultaneously, the seminar will examine the market-based monitoring system practiced in the USA and the UK. In addition, the seminar will review the efficacy of the three pillars of corporate governance, such as board composition, ownership structure, and audit structure, to examine their applicability in Japanese culture. Finally, the seminar will discuss how governance mechanisms impact family and non-family firms, corporate social behavior, and global citizenship. After completing this seminar, students will learn how the bank-based or creditor-based governance system and market-based governance mechanisms impact monitoring and controlling modern corporations’ opportunistic behavior. This seminar is helpful for students who want to be management consultants.

This seminar is a fundamental one for business students. In this seminar, students will read academic papers and articles on contemporary developments in corporate governance in Japan, particularly. This requires substantial time to study at home after each session. Also, students need to present a summary of selected papers individually and in a team. I suggest students read at least two hours before and after each session. In total, the students need to spend 60 hours of study outside the class.

Active learning tools include lectures, cases, and assignments. If the Covid-19 pandemic appears again, the course will be offered online using Zoom. To run the class smoothly, PowerPoint slides will be given to the students before delivering each lecture so that they can make the necessary preparations for the upcoming class. In addition, the instructor will provide required academic papers and cases in advance so that students can read them in a group and present them in the classroom. Finally, students need to produce a final report.

Evaluation Methods: Contribution to classroom discussions (25%),  group presentation (25%), and a final report (50%)

In the classroom

Students need to attend class regularly. They should read class materials at home to participate actively in classroom discussions.
